Terms and Conditions of Service Policy

By accessing or using Tiangix (website, app, related services and tools), you accept these Terms. If you do not agree, do not use the Platform.
I. Definitions
“Platform”: Tiangix (web/app/services).
“Tiangix”: Latin Ventures LLC, Tiangix DBA.
“User”: anyone who uses the Platform.
“Buyer”: user who buys.
“Seller”: user/business that publishes and sells products.
“Order”: confirmed purchase on Tiangix.
“Content”: photos, texts, brands, reviews, catalogs, etc.
“Policies”: rules published by Tiangix (Returns, Restricted, Disputes, Privacy,
Cookies, etc.).
II. Eligibility and Account
1. You must have 18 years or older and legal capacity.
2. You must provide real information and keep it up to date.
3. You are responsible for all activity on your account and for protecting your credentials.
4. Tiangix may request identity and business verification (KYC/KYB) for security, payments, fraud prevention, and compliance.
III. Tiangix's role as a Marketplace
1. Tiangix is a Marketplace which provides listings, discovery, payments, taxes (when applicable), integrated logistics and support.
2. Unless specifically indicated by Tiangix, Tiangix is not the seller of products published by third parties.
3. El Salesman is responsible for: product legality, accuracy of the listing, quality, safety, packaging, shipping/deliveries, guarantees, licenses and regulatory compliance.
4. El shopper is responsible for: correct management, reception, appropriate use of the product and review of applicable policies.
IV. Publications, Catalogue and Listing Rules (Sellers)
1. Each product must include clear information: description, photos, price, variants (size/weight), conditions, additives/allergens (if applicable), expiration date (if applicable), country of origin (if applicable) and necessary warnings.
2. It is prohibited to:
a. false or misleading information,
b. manipulated reviews or ratings,
c. using third-party brands without authorization,
d. post offensive/illegal content,
e. duplicate listings to manipulate results.
3. Tiangix may unpublish, limit or correct listings to protect users, for quality control or compliance.
V. Restricted Products and Compliance
1. It is forbidden to sell illegal or high-risk products, including those described in the Annex C (Restricted Products).
2. Regulated products (depending on state/city) can only be sold if Tiangix authorizes them in writing and the Seller demonstrates licensing and compliance (e.g., certain regulated foods, tobacco/nicotine, alcohol, medications, etc.).
3. Tiangix may require documents, withdraw them or suspend stores in the face of risks.
I SAW. Pricing, Taxes and Sales Tax (Marketplace Facilitator)
1. The Seller sets prices and availability; Tiangix can show comparisons, discounts and estimated costs.
2. Sales Tax: In many states, marketplaces must collect and submit Sales tax as marketplace facilitator. Where applicable, Tiangix will calculate, collect and remit the corresponding Sales Tax.
3. The Seller is still responsible for other taxes (e.g., income tax, registrations, permits, additional nexus where applicable, etc.).
4. The taxes shown at checkout may vary by location and tax rules.
VII. Payments, Stripe, Split Payments and Authorizations
1. Tiangix uses a payment processor (Stripe) to collect and distribute funds.
2. By paying, you authorize Tiangix and its processor to:
a. charge the total (products + shipping + taxes + charges),
b. make adjustments for returns, shortages, replacements or disputes,
c. make refunds in accordance with policies.
3. Tiangix can use a scheme of repartition (split) to separate: Sales Tax, Tiangix commissions, processing costs and Seller payout.
VIII. Commissions, Seller Plans and Fees (2026)
1. Tiangix offers Seller levels (e.g.: Entrepreneur, Business, Enterprise) based on product volume.
2. Promotion 2026: seller subscription $0 USD during 2026 (unless Tiangix indicates otherwise on the pricing page).
3. Tiangix cobra commission per sale (see Annex A).
4. Processing fees (Stripe or others) may apply per transaction depending on the terms of the processor and payment method.
IX. Payouts (Payments to Merchants), Retentions and Reservations
1. Payments to Sellers will be made in cycles (by default: weekly, see Annex D), subject to:
a. KYC/KYB verification,
b. risk, history and metrics (disputes, cancellations, deliveries),
c. returns in progress,
d. chargebacks.
2. Tiangix can apply Retentions and/or stockpile security to cover refunds/chargebacks.
3. If a Seller is at high risk or defaults, Tiangix can pause payments and request additional documentation.
X. Shipping, Deliveries and Logistics
1. The Seller must comply with published preparation and dispatch times.
2. Tiangix can offer labels and/or integrations with packages (USPS/UPS/FedEx) and/or deliveries Same-day through third parties where there is coverage.
3. The risk of loss and liability for damage/lost package are evaluated with evidence (tracking, proof of delivery, photos) according to policies.
4. Failed deliveries due to the wrong address or lack of receipt by the Buyer may result in charges.
XI. Cancellations, Returns and Refunds
1. Return rules vary by category (especially fresh/perishable).
2. Terms and conditions apply to the Annex B (Returns by category).
3. Tiangix can manage refunds when necessary to protect the community, and then adjust the Seller's payout.
XII. Disputes, Claims and Chargebacks
1. Buyers must report problems within the established deadlines (Annex E).
2. Tiangix can mediate and decide based on evidence: tracking, messages, photos,
history, policies.3. Chargebacks can result in charges, withholding, and loss of the disputed amount.
XIII. Prohibited Conduct
It is prohibited to: fraud, impersonation or money laundering, manipulating sales, reviews or rankings, evading commissions (closing sales “out of the box”), posting illegal or infringing content, harassment, discrimination, threats, attacks on the Platform (aggressive scraping, malware, reverse engineering, etc.).
XIV. Intellectual Property and User Content
1. Tiangix and its design/software/brand are protected by intellectual property laws.
2. The User retains rights to their Content, but grants Tiangix a worldwide, non-exclusive, transferable and sub-licensable license to host, display, distribute and use it to operate, promote and improve the Platform.
4. Limit: Tiangix's total liability, if applicable, is limited to the total of commissions paid to Tiangix by the User in the past 3 months, or $100 USD, whichever is smaller
3. Tiangix may remove content that violates rights or violates policies.
XV. Privacy and Cookies
The use of personal data is governed by the Privacy Policy and Cookie Policy published in Tiangix. By using the Platform, you accept these policies.
XVI. Suspension, Termination and Compliance Measures
Tiangix may, as appropriate and when permitted by law: suspend or close accounts, withdraw listings, cancel orders, temporarily withhold funds, request verification, if it detects fraud, risk, non-compliance or harm to the community.
VII. Disclaimers and Limitation of Liability
1. Tiangix is provided “as is” and “subject to availability”.
2. To the extent permitted by law, Tiangix does not guarantee continuous availability or absence
of errors.
3. To the extent permitted by law, Tiangix will not be responsible for indirect damages, loss of profits, reputation or data.
VIII. Indemnity
You agree to compensate and hold harmless Tiangix (Latin Ventures LLC), its officers and employees, for claims arising from: breach of these Terms, illegal/defective or misdescribed products, intellectual property infringement, fraud or misconduct.
XIX. Applicable Law, Dispute Resolution and Arbitration
1. These Terms are governed by the laws of the State of Oklahoma, to the extent permitted.
2. Informal resolution: before starting a formal proceeding, the parties will attempt to resolve it in writing within 30 days.
3. Binding Arbitration (recommended): barring legal exceptions, disputes will be resolved by individual arbitration and not by class action.
4. Class Action Waiver: you agree to resolve disputes on an individual basis.
5. Exceptions: Intellectual property claims, security or injunctive relief may go to competent courts.
XX. Changes to the Terms
Tiangix may update these Terms. We will publish the current version with a date. Continued use implies acceptance, unless express consent is required by law.

ANNEX A — SELLER PLANS AND COMMISSIONS (2026)
A.1 Seller Levels (Referential)
Entrepreneur: 0—50 products
Business: 51—500 products
Business: 501+ products
A.2 Subscription 20260 USD/month during 2026 (launch promotion).
A.3 Sales Fee (default 2026)
Tiangix charges a commission on the subtotal of products (Does not include Sales Tax).
Groceries (non-perishable): 10%
Fresh/ perishable: 8%
Clothes and accessories: 12%
Hygiene and personal care: 10%
Other (general): 10%
Notes:
Payment processing fees may apply depending on Stripe/payment method. Tiangix can adjust commissions by category with notice on the pricing page and/or in the seller panel.
ANNEX B — RETURNS AND REFUNDS BY CATEGORY
B.1 General Rule
Tiangix protects the Buyer against items Damaged, Incorrect, Missing or not received (with evidence).
For “change of mind” returns, category conditions apply.
B.2 Fresh/Perishable (fruits, vegetables, meat, baked goods, refrigerated products)
Non-returnable by nature of the product.
Refund or credit if: it arrived damaged, in poor condition, with an inadequate expiration date, or incorrect.
Deadline for reporting: 24 hours since delivery (with photos).
B.3 Non-perishable groceries
Return accepted if the product is unopened, in new conditions. Deadline: 14 days since delivery.
If it arrived damaged or incorrect: report at 72 hours.
B.4 Clothing/Footwear/Accessories
Return accepted if unused, with labels and original packaging when applied.
Deadline: 30 days since delivery.
If defective/incorrect: 7 days to report.
B.5 Hygiene and personal careFor safety, not returnable if it was open/used.
Acceptable if sealed and unopened: 14 days.
If it arrived damaged/incorrect: 72 hours.
B.6 Return Shipping Costs
If the error was the Seller's (incorrect/defective/damaged): Seller assumes.
If it's “change of mind” and the category allows it: Buyer can assume.
ANNEX C — RESTRICTED PRODUCTS (SUMMARY)
Prohibited (non-exhaustive list):
Illegal drugs, illegal paraphernalia, controlled substances without permits
Regulated weapons, ammunition, explosives and components
Products that are stolen or of questionable origin
Counterfeiting, unauthorized replicas, piracy
Prescription drugs and medical devices regulated without authorization
Tobacco/nicotine, alcohol and cannabis/THC/CBD (unless expressly authorized and
full compliance, where legal)
Hazardous material not allowed (restricted chemicals, toxic, flammables)
Explicit sexual content
Illegal services and any products prohibited by state/federal law
Tiangix may expand the list and require compliance documentation.
ANNEX D — PAYMENTS TO SELLERS (PAYOUTS), WITHHOLDING AND RESERVES
1. Default cycle: weekly (may vary by Stripe, verification and risk).
2. Standard operational retention: upto 7 days after the confirmed delivery (to cover initial claims).
3. Safety reserve (if applicable): upto 5% of the volume, retained until 30 days, according to history/industry/risk.
4. Tiangix may pause payouts for chargebacks, high claim rates, non-compliance, or incomplete verification.
ANNEX E — DISPUTES AND CHARGEBACKS (PROCESS)
1. Buyer's Claim: start within the deadlines set out in Annex B.
2. Required Evidence: photos, video, messages, tracking, proof of delivery.
3. Decision: Tiangix decides based on policy and evidence.
4. Chargeback: If the bank reverts, Tiangix may debit the amount to the Seller
